Objective
A Non-Disclosure Agreement (NDA), also known as a confidentiality agreement, is a legally binding contract that establishes a confidential relationship between parties to protect sensitive information or trade secrets. These agreements are categorized as unilateral, where one party shares information, or mutual, where both parties exchange proprietary data. Commonly used in employment, mergers and acquisitions, and technology licensing, they define the scope of protected information and the duration of the obligation. As of late 2025, legislative reforms like the Victims and Prisoners Act 2024 and the Speak Out Act have limited their enforceability. Specifically, they can no longer prevent victims of crime or harassment from disclosing conduct to law enforcement, legal advisors, or support services.
